1. What we do
B&D Media provides a marketing automation platform and related services that create content, generate designs and schedule posts to social media on your instruction.

2. Agreement
By using the services you accept these Terms and the Privacy Policy. If you use the services for a company you represent and warrant that you have authority to bind that company.

3. Accounts and clients
a. You are responsible for all activity under your account.
b. You must keep login credentials confidential.
c. You will ensure you have permission to connect any social media or data source you add.

4. Subscriptions and fees
a. Plans are billed in advance on a recurring basis unless stated otherwise.
b. Fees are non refundable except where required by law.
c. Taxes and payment processor charges may apply.
d. We may change pricing with prior notice. If you continue to use the service after the effective date the new pricing applies.

5. Acceptable use
You will not use the services to post unlawful misleading harmful or infringing content. You will not attempt to access the services in a manner that avoids fees or limits or that interferes with our systems or third party platforms.

6. Your content
a. You retain ownership of content you supply.
b. You grant us a worldwide non exclusive royalty free licence to host process reproduce adapt and display your content only for the purpose of operating and improving the services and to comply with law.
c. You confirm you have all rights and consents needed for us to process the content and to publish it to platforms you select.

7. Generated outputs
Content and designs generated through the services are provided as is. You are responsible for reviewing outputs for accuracy compliance brand safety and legal approvals before publication.

8. Third party services
The services interact with third party platforms such as social networks storage and analytics. Those platforms are governed by their own terms and policies. We are not responsible for their acts or omissions.

9. Intellectual property
All rights in the services software templates and documentation are owned by us or our licensors. Except for the limited right to use the services during your subscription no rights are assigned or licensed.

10. Confidentiality
Each party will keep the other party’s non public information confidential and use it only to perform this agreement.

11. Privacy
We process personal data according to the Privacy Policy and the Singapore Personal Data Protection Act. Where required we may enter into separate data processing terms.

12. Disclaimers
The services are provided as is and as available. We do not guarantee uninterrupted or error free operation or specific business outcomes.

13. Limitation of liability
To the fullest extent permitted by law our total liability for all claims in any twelve month period is limited to the fees you paid for the services in that period. We are not liable for lost profits loss of data or any indirect or consequential losses.

14. Indemnity
You will indemnify us against claims arising from your content your use of the services or your breach of these Terms.

15. Suspension and termination
We may suspend or terminate access for non payment security risk unlawful use or material breach. You may cancel at any time in the account settings. On termination your right to use the services ends. We may delete data after a retention period.

16. Changes
We may update these Terms. We will notify you of material changes. Continued use after the effective date means you accept the changes.

17. Governing law and disputes
This agreement is governed by Singapore law. The courts of Singapore have exclusive jurisdiction.
